Terms of Service

1. Acceptance of Terms
By accessing or using HeadHonta (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this requirement.
2. Description of Service
HeadHonta is an AI-powered talent operations platform that helps teams manage hiring pipelines, analyse CVs, score candidates, post jobs to external job boards, and collaborate on recruitment decisions. The Service includes both free and paid tiers, as described on our Pricing page.
AI features are powered by third-party AI models and are provided "as is." AI outputs are suggestions and should not be the sole basis for hiring decisions.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorised access to your account.
- One account per individual. Organisation accounts may have multiple team members.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload or transmit any content that is defamatory, obscene, harassing, or that infringes on any third party's rights.
- Attempt to reverse engineer, decompile, or disassemble the Service.
- Use automated tools to scrape, crawl, or extract data from the Service without our written permission.
- Circumvent or disable any security features of the Service.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Service to discriminate against candidates based on protected characteristics (race, gender, age, disability, religion, sexual orientation, or any other protected class).
- Distribute malware or any code designed to disrupt or damage the Service.
- Exceed the usage limits of your plan or share your account credentials.
5. Intellectual Property
Our Rights
HeadHonta and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and documentation. These Terms do not grant you any right to use our branding or trademarks.
Your Content
You retain ownership of all content you upload to the Service (candidate data, job postings, notes, etc.). By using the Service, you grant us a limited, non-exclusive licence to process, store, and display your content solely to provide the Service to you.
This licence ends when you delete your content or close your account, subject to reasonable backup and deletion timelines.
6. Payment and Billing
- Paid plans are billed monthly or annually, as selected at the time of purchase.
- All fees are in US dollars and exclude applicable taxes.
- You may upgrade or downgrade your plan at any time. Changes take effect immediately, and billing is prorated.
- We will give at least 30 days' notice before changing prices for existing customers.
- Refunds are available within 14 days of a paid plan purchase if you are not satisfied.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
You are responsible for ensuring that your use of candidate data complies with applicable data protection laws in your jurisdiction, including obtaining any necessary consents from candidates.
8. AI-Generated Content
- AI features (candidate matching, scoring, CV analysis, talent sourcing) are provided as decision-support tools, not as replacements for human judgement.
- We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.
- You are solely responsible for any hiring decisions made using AI-generated suggestions.
- AI features may be temporarily unavailable due to third-party provider outages.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (we will provide advance notice).
- Unplanned outages or emergency fixes.
- Events beyond our reasonable control (force majeure), including natural disasters, internet outages, or third-party service failures.
Enterprise customers may negotiate a Service Level Agreement (SLA) with specific uptime commitments.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability to you for any claims arising from or related to the Service shall not exceed the amounts you paid to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold HeadHonta harmless from any claims, damages, or expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms.
- Your violation of any applicable law or regulation, including data protection laws.
- Content you upload that infringes on a third party's rights.
12. Termination
- By you — you may close your account at any time from your account settings.
- By us — we may suspend or terminate your account if you breach these Terms, with notice where reasonably practicable.
- Upon termination, you will have 30 days to export your data. After that period, we will delete your data in accordance with our Privacy Policy.
- Sections 5, 10, 11, and 13 survive termination of these Terms.
13. Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
- Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in court.
- To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class actions.
- For users in the EU/UK, this clause does not affect your statutory right to bring claims in your local courts.
14. General Provisions
- Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and HeadHonta.
- Severability — if any provision is found unenforceable, the remaining provisions remain in full effect.
- Waiver — our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment — you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
- Changes — we may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect.
